Rallypi Terms of Service

These Terms of Service govern the rights, obligations, and responsibilities between Rallypi and users with respect to the use of Rallypi's website, mobile web, and related services (collectively, the “Service”).
Article 1 Purpose
These Terms are intended to set forth the conditions and procedures for using the Service provided by Rallypi, as well as the rights, obligations, and responsibilities of the Company and users.
Article 2 Definitions
- “Service” means all web features, content, research, translation, summarization, visualization, search, account features, and all ancillary functions provided by the Company.
- “User” means any member or non-member who uses the Service provided by Rallypi under these Terms.
- “Member” means a person who registers an account with the Company and continuously uses the Service.
- “Content” means all text, charts, summaries, analyses, scores, tags, translations, images, graphics, UI, data visualizations, and other information.
- “Third-Party Data” means data, information, software, and infrastructure provided or integrated through third parties such as exchanges, data vendors, news providers, cloud providers, authentication providers, analytics tools, and payment providers.
- “AI Content” means output that is generated, summarized, classified, translated, organized, or recommended through automated models, algorithms, or similar technologies.
Article 3 Effect and Amendment of the Terms
- Rallypi will post these Terms on the Service screen or a linked screen so that users can easily review them.
- Rallypi may amend these Terms to the extent permitted by applicable law.
- If Rallypi amends these Terms, it will announce the effective date and the reason for the amendment at least 7 days before the effective date. If the amendment is unfavorable to users, Rallypi will announce it at least 30 days in advance.
- If a user does not expressly indicate refusal by the effective date of the amended Terms and continues to use the Service, the user will be deemed to have agreed to the amended Terms.
Article 4 Provision of the Service
- Rallypi may provide the following services:
- Providing information related to U.S. stocks and ETFs
- Providing market summaries, ticker summaries, AI-based analysis, and research content
- Providing charts, economic calendar features, search, saved items, and account management functions
- Providing translation, tagging, filtering, and other supplementary features
- Services additionally developed by the Company or provided through partnerships
- Rallypi may change, add, or suspend all or part of the Service as necessary for operational, technical, or policy reasons.
- Rallypi may provide part of the Service free of charge. If paid services are introduced, the price, usage period, refund policy, and similar matters will be announced separately.
Article 5 Membership Registration and Account Management
- Membership registration is completed when the user enters the required information under the procedures designated by Rallypi, agrees to these Terms and the Privacy Policy, and Rallypi approves the registration.
- Registration and login may be carried out through external authentication methods provided by the Company, currently Google OAuth.
- Users must provide accurate and up-to-date information and must revise it within the necessary scope when such information changes.
- Users are responsible for managing their own account information and must notify Rallypi immediately upon becoming aware of any unauthorized use of their account.
- Users may not create or use an account by misappropriating another person's name or information.
- Members may request account deletion through the Settings page or other procedures provided by Rallypi, and Rallypi will deactivate or delete the account in accordance with applicable laws and internal policies.
- The Company may reject registration or restrict, suspend, or terminate account use afterward in the following cases:
- If false information is provided
- If these Terms or applicable laws are violated
- If the user interferes with the normal operation of the Service or is likely to do so
- Any other case the Company reasonably determines to be inappropriate
Article 6 Prohibited Conduct
Users must not engage in any of the following acts:
- Acts contrary to law, public order, or good morals
- Acts infringing the rights of the Company or any third party
- Acts that bypass, interfere with, or disable security features of the Service
- Using bots, macros, crawlers, scrapers, or other automated means to impose excessive load on the Service or collect data without authorization
- Copying, distributing, transmitting, selling, reselling, creating derivative works from, or commercially exploiting the Service or Content without prior written consent
- Using the Service in a manner that is false or likely to mislead others
- Reverse engineering, decompiling, extracting source code, or any similar act beyond the scope permitted by applicable law
- Sharing accounts, lending account names, or transferring access rights
- Bypassing advertising, security, rate-limit, or access-control policies
- Generating abnormal traffic or invalid traffic
Article 7 Notice Regarding Financial Information and Investment Decisions
- The Service and Content are provided for general informational purposes only and do not constitute solicitation, investment advice, discretionary investment management, legal advice, tax advice, or accounting advice regarding any specific financial product.
- Rallypi does not provide personalized advice that takes into account a user's investment objectives, financial status, risk preference, or individual circumstances.
- The final decision and responsibility regarding whether to invest, and the results of any investment, rest entirely with the user.
- Past returns, past data, or AI analysis results do not guarantee future performance.
- Summaries, analysis scores, catalyst factors, event outlooks, translations, sentiment analysis, tag classification, and similar content included in the Service may be generated based on automated systems or third-party data and may contain errors, delays, omissions, or inaccuracies.
- Market outlook voting is only a feature that displays opinions submitted by users and does not constitute investment recommendations or the official view of the Company.
- To ensure fairness and reliability of the Service, Rallypi may limit the number of votes per ticker on each trading day. Currently, each user may vote only once per trading day for the same ticker.
Article 8 Third-Party Data and AI Content
- The Service may include Third-Party Data, and the scope, accuracy, completeness, timeliness, and delivery timing of such data may vary depending on the circumstances of the relevant third party.
- Rallypi may limit or change part of the Service due to suspension, changes, delays, licensing restrictions, geographic restrictions, or errors in Third-Party Data.
- AI Content is based on statistical inference and automated processing and may be inconsistent with facts or may fail to fully reflect important context.
- Before making important financial, legal, or business decisions, users must additionally review reliable primary sources such as regulatory filings, company announcements, regulator materials, and earnings materials.
- Market data, charts, and related information displayed in the Service may be provided as of market close or on a delayed intraday basis.
- Before making an investment decision, users must additionally verify reliable primary sources such as regulatory filings, company announcements, regulator materials, and earnings materials, and must not rely on the Service as their sole basis.
- Analytical results are AI-generated outputs based on licensed news inputs, disclosed facts, and other lawfully usable information, and the Company does not in principle reproduce or provide the full text of third-party articles.
Article 9 Intellectual Property Rights
- Copyrights, database rights, trademarks, design rights, trade secrets, and other intellectual property rights related to the Service and Content belong to the Company or the legitimate rights holder.
- Except as expressly permitted by Rallypi, users may not reproduce, distribute, publicly transmit, display, publish, sell, license, or commercially use the Service or Content.
- If a user posts, uploads, stores, or transmits materials within the Service, the user grants the Company a non-exclusive license to use those materials to the extent necessary for service operation, improvement, security, customer support, and dispute response, except where limited by the Privacy Policy or applicable law.
Article 10 Paid Services, Payment, and Refunds
- Rallypi may currently provide core services free of charge. If paid services are introduced, pricing, payment terms, usage periods, whether auto-renewal applies, and refund policies will be stated on the payment screen or in a separate notice.
- Where withdrawal of subscription or refunds are allowed under applicable law, the Company will process them according to such law and individual policies.
- Payments may be processed through third-party payment providers, and in that case the terms of the relevant provider may additionally apply to the payment process.
- If subscription services are introduced, they may renew automatically unless the user cancels, and the Company will provide advance notice of renewal conditions to the extent possible.
Article 11 Changes, Suspension, and Maintenance of the Service
- Rallypi may temporarily suspend all or part of the Service in cases of system inspection, maintenance, incident response, security needs, legal requirements, or issues involving third-party infrastructure or data supply.
- Rallypi may change the content, features, user interface, service regions, supported languages, supported devices, or method of delivery of the Service.
- Rallypi may change or terminate all or part of the free Service without separate compensation. However, if paid services are materially affected, Rallypi will handle the matter in accordance with applicable law and Company policy.
Article 12 Limitation of Liability
- Rallypi is not liable for damages caused by force majeure events such as natural disasters, war, terrorism, hacking, DDoS attacks, telecommunications failures, cloud outages, exchange or data-provider failures, laws or administrative orders, or similar circumstances beyond its control.
- To the extent permitted by law, Rallypi may limit liability in connection with free services, AI Content, Third-Party Data, external links, and disputes between users.
- To the extent permitted by law, Rallypi is not liable for lost profits, indirect damages, special damages, consequential damages, data loss, or business interruption.
- Even where Rallypi is found liable for damages, unless there is intentional misconduct or gross negligence by the Company, that liability may be limited to the amount actually paid by the user to the Company for the relevant Service during the previous 12 months, or the minimum amount permitted by applicable law. Mandatory consumer-protection laws prevail where applicable.
- This Article does not apply to liabilities that cannot be limited or excluded under applicable law.
Article 13 Restrictions on Use and Termination
- If a user violates these Terms or applicable law, Rallypi may restrict the user's use of the Service with prior notice, or with subsequent notice if urgent circumstances require immediate action.
- Users may request account withdrawal at any time.
- If paid services are introduced, users may request subscription cancellation or contract termination according to separate policies.
- Details regarding use restrictions, withdrawal, termination, and related data processing are governed by the Privacy Policy and individual policies.
Article 14 Governing Law and Jurisdiction
- These Terms are interpreted and applied in accordance with the laws of the Republic of Korea.
- However, if a user is a consumer in a country or region outside the Republic of Korea and mandatory laws of that jurisdiction apply, those mandatory laws may prevail to that extent.
- If a dispute arises between the parties, they will first endeavor to resolve it through good-faith consultation.
- If the dispute is not resolved through consultation, the courts of the Republic of Korea will have jurisdiction to the extent permitted by applicable law. Mandatory consumer-protection rules apply where relevant.
Article 15 Language
If the Company provides these Terms in a language other than Korean, the Korean version will govern unless otherwise required by law.
